TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Synapse
mobile application and related website and services (collectively, the
"Services"), operated by Synapse ("Synapse," "we," "us," or "our"). By creating
an account or using the Services, you agree to these Terms. If you do not agree,
do not use the Services.
1. ELIGIBILITY
You must be at least 13 years old to use the Services. If you are under 18, you
may use the Services only with the involvement and consent of a parent or legal
guardian who agrees to these Terms on your behalf. By using the Services, you
represent that you meet these requirements.
2. DESCRIPTION OF THE SERVICES
Synapse is an AI-powered tool that helps you maintain meaningful personal
relationships. The Services let you add people you care about and use features
including conversation suggestions and prompts, reminders and nudges,
relationship health insights, AI-generated summaries, and planning tools. Some
features use artificial intelligence to generate suggestions, prompts,
summaries, and reminders based on information you provide. We may add, change,
or remove features at any time.
3. LICENSE
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable,
revocable license to download and use the Services for your personal,
non-commercial use. You may not copy, modify, distribute, sell, lease,
reverse-engineer, decompile, or attempt to extract the source code of the
Services, nor scrape or harvest data from the Services, except to the extent
this restriction is prohibited by applicable law.
4. ACCOUNT REGISTRATION AND SECURITY
You are responsible for providing accurate registration information, for keeping
your credentials confidential, and for all activity under your account. Notify
us promptly of any unauthorized use. We are not liable for losses arising from
your failure to safeguard your account.
5. USER CONTENT
You retain ownership of the content you submit ("User Content"). You grant
Synapse a non-exclusive, worldwide, royalty-free license to host, store,
process, transmit, and use your User Content as needed to operate and improve
the Services, including processing it through AI features as described in
Section 7. You represent that you have the rights necessary to submit your User
Content and that it does not violate any law or third-party right.
6. INFORMATION ABOUT OTHER PEOPLE
The Services let you store information about other people (such as names, notes,
and reminders). You represent and warrant that you have the right and any
necessary permission to provide this information and to use the Services in
connection with it, and that doing so complies with applicable law.
7. AI FEATURES AND LIMITATIONS
The Services use third-party AI providers to process your inputs and generate
outputs. AI outputs may be inaccurate, incomplete, or inappropriate, and you are
responsible for evaluating them before relying on or acting on them. AI outputs
are NOT professional advice of any kind — including legal, medical, mental
health, financial, or therapeutic advice — and are not a substitute for a
qualified professional. The Services are not designed for emergencies or crisis
situations. If you are in crisis or believe you may harm yourself or others,
contact your local emergency services or a crisis hotline immediately.
8. PAYMENTS, SUBSCRIPTIONS, AND BILLING
Synapse offers paid features through auto-renewing subscriptions (a monthly plan
and an annual plan). We do not currently sell one-time purchases, consumables,
or donations.
All purchases are made through Apple and are charged to your Apple ID / App
Store account at confirmation of purchase. Free trials, billing, pricing,
auto-renewal, and cancellation are governed by Apple's applicable terms, in
addition to these Terms.
• Your subscription renews automatically for the same period and at the
then-current price unless you cancel at least 24 hours before the end of the
current period.
• You can manage or cancel your subscription, and view renewal information, in
your device Settings → Apple ID → Subscriptions.
• If your plan includes a free trial, any unused portion of the trial is
forfeited when you purchase the corresponding subscription, where applicable.
• Refunds, where available, are handled by Apple in accordance with Apple's
policies.
Prices and plan features may change; we will provide notice where required by
law or platform rules, and price changes will not take effect for a current
paid period that you have already been charged for.
9. ACCEPTABLE USE
You agree not to use the Services to: violate any law or third-party right;
upload unlawful, harassing, hateful, or infringing content; impersonate others
or misrepresent your affiliation; interfere with or disrupt the Services or
their security; attempt unauthorized access to any system or account; use the
Services to build a competing product; or use automated means to access the
Services except as expressly permitted.
10. THIRD-PARTY SERVICES
The Services may rely on or link to third-party services and content. We are not
responsible for third-party services, and your use of them is governed by their
own terms and policies. You agree to comply with any applicable third-party
terms when using the Services.
11. INTELLECTUAL PROPERTY
The Services, including the app, website, branding, logos, designs, text,
graphics, and software (excluding your User Content), are owned by Synapse or its
licensors and are protected by intellectual property laws. Except for the rights
expressly granted in these Terms, no rights are granted to you.
12. FEEDBACK
If you send us feedback, suggestions, or ideas, you grant us a perpetual,
irrevocable, worldwide, royalty-free license to use them for any purpose without
obligation or compensation to you.
13. PRIVACY
Your use of the Services is subject to our Privacy Policy, available at
https://www.hisynapse.com/privacy-policy, which is incorporated into these Terms
by reference.
14. SUSPENSION AND TERMINATION
We may suspend or terminate your access to the Services at any time if you
violate these Terms or if we discontinue the Services. You may stop using the
Services at any time and may delete your account through the app. Sections that
by their nature should survive termination (including Sections 5, 7, 11, 12,
15–18, and 20–24) will survive.
15. DISCLAIMERS
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY
KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR
THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE
EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAPSE AND ITS OFFICERS, EMPLOYEES, AND
AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL
LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF
(A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE
TO THE CLAIM, OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN
LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
17. INDEMNIFICATION
You agree to indemnify and hold harmless Synapse from any claims, damages,
liabilities, and expenses (including reasonable legal fees) arising from your
User Content, your use of the Services, or your violation of these Terms or any
law or third-party right.
18. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Washington, without regard
to conflict-of-laws principles. You agree that any dispute will be resolved
exclusively in the state or federal courts located in King County, Washington,
and you consent to their jurisdiction, except where applicable law gives you the
right to bring a claim in your local jurisdiction.
19. CHANGES TO THE SERVICES AND TERMS
We may modify the Services or these Terms at any time. If we make material
changes to these Terms, we will provide notice through the app or by other
reasonable means and update the "Last updated" date. Your continued use after
changes take effect constitutes acceptance.
20. APP MARKETPLACE TERMS
You acquired the Services through an app marketplace (the "Marketplace"). These
Terms are between you and Synapse only, and not with the Marketplace. The
Marketplace is not responsible for the Services or their content, maintenance,
or support, except as required by applicable law. Your use of the Services must
comply with the Marketplace's applicable terms of use.
21. APPLE APP STORE ADDITIONAL TERMS
This Section applies if you obtained the app from the Apple App Store and, to the
extent of any conflict, controls over the rest of these Terms with respect to
your use of the app on Apple devices.
(a) Acknowledgement. These Terms are concluded between you and Synapse only,
and not with Apple Inc. ("Apple"). Synapse, not Apple, is solely responsible
for the app and its content.
(b) Scope of License. The license granted to you for the app is a non-
transferable license to use the app on any Apple-branded products that you own
or control, and only as permitted by the Usage Rules set forth in the Apple
Media Services Terms and Conditions, except that the app may be accessed and
used by other accounts associated with you via Family Sharing or volume
purchasing.
(c) Maintenance and Support. Synapse is solely responsible for providing any
maintenance and support services for the app. Apple has no obligation to
furnish any maintenance or support services for the app.
(d) Warranty. Synapse is solely responsible for any product warranties,
whether express or implied by law, to the extent not effectively disclaimed.
In the event of any failure of the app to conform to any applicable warranty,
you may notify Apple, and Apple will refund the purchase price (if any) for the
app to you. To the maximum extent permitted by applicable law, Apple will have
no other warranty obligation whatsoever with respect to the app, and any other
claims, losses, liabilities, damages, costs, or expenses attributable to any
failure to conform to any warranty will be Synapse's sole responsibility.
(e) Product Claims. Synapse, not Apple, is responsible for addressing any
claims by you or any third party relating to the app or your possession and/or
use of the app, including: (i) product liability claims; (ii) any claim that
the app fails to conform to any applicable legal or regulatory requirement; and
(iii) claims arising under consumer protection, privacy, or similar
legislation. These Terms do not limit Synapse's liability beyond what is
permitted by applicable law.
(f) Intellectual Property Rights. In the event of any third-party claim that
the app or your possession and use of the app infringes that third party's
intellectual property rights, Synapse, not Apple, will be solely responsible
for the investigation, defense, settlement, and discharge of any such
intellectual property infringement claim.
(g) Legal Compliance. You represent and warrant that (i) you are not located in
a country that is subject to a U.S. Government embargo, or that has been
designated by the U.S. Government as a "terrorist supporting" country; and (ii)
you are not listed on any U.S. Government list of prohibited or restricted
parties.
(h) Developer Name and Address. Questions, complaints, or claims with respect
to the app should be directed to Synapse at the contact information in
Section 23.
(i) Third-Party Terms. You must comply with applicable third-party terms of
agreement when using the app.
(j) Third-Party Beneficiary. You acknowledge and agree that Apple, and Apple's
subsidiaries, are third-party beneficiaries of these Terms, and that, upon your
acceptance of these Terms, Apple will have the right (and will be deemed to have
accepted the right) to enforce these Terms against you as a third-party
beneficiary thereof.
22. NO WAIVER; SEVERABILITY
Our failure to enforce any provision is not a waiver. If any provision is held
unenforceable, it will be limited or removed to the minimum extent necessary, and
the remaining provisions will remain in full force.
23. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, constitute the entire agreement
between you and Synapse regarding the Services and supersede any prior agreements.
